Terms of service
1. Scope
These general terms and conditions govern all orders placed on waterlo.ch. The shop is operated by Saniduo Sàrl, Gemmistrasse 105, 3970 Salgesch, Switzerland (hereinafter “Waterlo”, “we”).
By placing an order you accept these terms as well as our privacy policy, our shipping policy and our return policy. These documents form an integral part of the contract.
We sell to both trade professionals and private customers domiciled in Switzerland. Any conflicting terms of the buyer apply only if we have accepted them in writing.
2. Formation of the contract
The presentation of products on the site does not constitute a binding offer. By placing an order you make us an offer to purchase. The contract is formed only when we confirm your order by email, or at the latest upon shipment.
We reserve the right to refuse or limit an order, in particular in the event of unavailability, an obvious pricing error, or doubt as to the buyer's identity.
Before confirming, you may review and correct your entries at every step of the cart and checkout.
3. Prices
Prices are stated in Swiss francs, including 8.1 % VAT. Shipping costs are shown separately before the order is confirmed.
The applicable price is the one displayed at the time of the order. We reserve the right to change our prices at any time, without effect on orders already confirmed.
In the event of an obvious error in price or description, we may cancel the order and refund you in full.
4. Payment
Payment is made using the methods offered at the time of ordering. The amount is charged in accordance with the payment provider's terms.
The goods remain our property until payment has been received in full.
5. Delivery
We deliver within Switzerland only. Lead times, costs and arrangements are set out in our shipping policy.
Stated lead times are estimates. We are not liable for delays attributable to the carrier, the manufacturer, or circumstances beyond our control.
6. Pallet delivery
Certain bulky or heavy items may require pallet transport. As this shipping method depends on the total volume of the order, it cannot be determined at the time of purchase.
If such transport proves necessary, we will notify you by email of the exact amount of the additional charge, a payment link and a deadline for your acceptance. This charge amounts to no more than CHF 150 incl. VAT per order. The order is shipped only after your agreement and payment of this surcharge. If we receive no reply within the stated deadline, the order is cancelled and fully refunded, at no cost to you.
7. Inspection on delivery, defects and returns
You are required to inspect the goods as soon as you receive them and to notify us of any defect without delay, in accordance with art. 201 of the Swiss Code of Obligations. Failing this, the goods are deemed accepted.

Swiss law provides no right of withdrawal for distance selling. We do not take back goods that match the order.
8. Warranty
The statutory warranty for defects applies under art. 197 et seq. of the Swiss Code of Obligations, for two years from delivery.
Where a defect is established, we choose between repair, replacement or refund. Manufacturer warranties apply in addition, under their own conditions.
Excluded from the warranty are: normal wear and tear, damage resulting from installation not carried out to professional standards, unsuitable maintenance, use contrary to the product's intended purpose, or intervention by a third party.
9. Liability
We are liable in cases of gross negligence or wilful misconduct. To the extent permitted by Swiss law, any liability for indirect damage, loss of business, construction delays or loss of profit is excluded.
The technical information published on the site comes from manufacturers and our suppliers. We reproduce it in good faith but do not guarantee its completeness or accuracy. It is your responsibility to verify that the product is suitable for your intended use before installation.
10. Data protection
The processing of your personal data is described in our privacy policy.
11. Intellectual property
All content on the site — texts, images, logos, layout — is protected by Swiss intellectual property law and belongs to Saniduo Sàrl or its suppliers. Any reproduction or reuse without written permission is prohibited.
Manufacturers' trademarks remain the property of their respective owners.
12. Technical platform
The site is hosted by Shopify Inc. The sale is nevertheless concluded exclusively between you and Saniduo Sàrl. Shopify is not a party to the contract and assumes no liability for the products sold.
13. Changes to these terms
We may amend these terms at any time. The applicable version is the one in force at the time of your order.
14. Governing law and jurisdiction
These terms are governed by Swiss law, excluding its conflict-of-law rules and the Vienna Convention on Contracts for the International Sale of Goods.
The exclusive place of jurisdiction is the competent courts of the Canton of Valais, subject to any mandatory places of jurisdiction provided by law.
